Terms of Service

Effective date: 11 April 2026

These Terms of Service ("Terms") govern access to and use of the HUMA platform and related services offered by HUMAIN. They are not a substitute for legal advice. A qualified attorney should review and adapt them for your entity, jurisdiction, and customer contracts (including enterprise agreements and DPAs) before you rely on them for enforcement or compliance.

1. Agreement

By accessing or using HUMA (the "Service"), you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. You must be at least the age of majority in your jurisdiction (and at least 16 years old, or older if required locally) to use the Service. If you do not agree, do not use the Service.

2. The Service

HUMA provides recruiting software, including AI-assisted workflows, interviews, communications, integrations, and related features. We may modify, suspend, or discontinue features with reasonable notice where practicable. The Service is provided on an "as is" and "as available" basis; see disclaimers below.

3. Accounts and workspaces

You are responsible for safeguarding credentials and for activity under your account. You must provide accurate information and keep it current. Workspace administrators may invite users and configure permissions; you are responsible for how your organization uses the Service and for revoking access when appropriate.

4. Customer obligations and acceptable use

You agree to:

  • Use the Service only in compliance with applicable laws, including employment, privacy, and anti-discrimination laws.
  • Obtain and document any required notices and consents for candidates and participants (for example for recording, proctoring, or international data transfers), and honor participant rights.
  • Not misuse the Service: no illegal, harmful, or fraudulent activity; no harassment; no scraping or bulk extraction beyond permitted APIs; no attempt to reverse engineer or circumvent security; no introduction of malware; no use that overloads or disrupts the Service.
  • Not use the Service to make unlawful hiring decisions; you remain responsible for final employment decisions and compliance with human review where required.

5. Host-connected email (Google Gmail and Microsoft 365 / Outlook)

If you connect a mailbox via OAuth, you authorize us to send email on your behalf through the provider's APIs within the permissions you grant. You are responsible for the security of your provider account and for complying with Google's, Microsoft's, and other applicable provider terms. Disconnecting the integration stops future sends using that connection subject to technical propagation.

6. AI-generated outputs

Outputs from AI features are assistive and may be incomplete or inaccurate. They do not constitute legal, medical, or professional HR advice. You are solely responsible for reviewing and validating outputs before relying on them for hiring or other decisions. We do not warrant the accuracy, completeness, or fitness of AI outputs for any particular purpose.

7. Recordings and interviews

You are responsible for informing participants when sessions are recorded or monitored (including proctoring where used) and for complying with recording and wiretap laws, including two-party or all-party consent rules where they apply. We provide tools and settings, but legal compliance for your use cases remains your obligation.

8. Fees and payment

Paid plans, credits, and billing terms are presented at signup, in-product, or in an order form. Fees are exclusive of applicable taxes unless stated otherwise. Payments are processed by Stripe (or another processor we designate). Failed payments may result in suspension of paid features. Price changes, if any, will be communicated as described in your plan or contract. 9. Intellectual property

We and our licensors own the Service, software, branding, and documentation. Subject to these Terms, you retain ownership of content you submit ("Customer Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Content as reasonably necessary to provide and improve the Service, including security, backups, and support. You represent that you have the rights needed to grant this license for Customer Content you submit.

10. Confidentiality and security

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for the purpose of the relationship, except as required by law. You must not disclose non-public details of our Service or security assessments without permission.

11. Third-party services

The Service integrates with third parties (such as Google, Microsoft, video providers, AI vendors, and infrastructure hosts). Their services are subject to their terms and privacy policies. We are not responsible for third-party services outside our reasonable control.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER HUMAIN NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100), IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.

14. Indemnity

You will defend, indemnify, and hold harmless HUMAIN and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from Customer Content, your use of the Service, your violation of these Terms, or your violation of applicable law or third-party rights (including employment and privacy laws related to candidate data).

15. Suspension and termination

We may suspend or terminate access to the Service if you materially breach these Terms, create risk or legal exposure, or if we are required to do so by law. You may stop using the Service at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations, indemnity, and governing law) will survive termination. Upon termination, we may delete or retain data as described in our Privacy Policy and any separate agreement with you.

16. Governing law and disputes

These Terms are governed by the laws of Singapore, excluding conflict-of-law rules. You agree that the courts of Singapore have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service, subject to any mandatory rights you may have in your country of residence.

17. General

These Terms constitute the entire agreement between you and HUMAIN regarding the Service and supersede prior understandings on the same subject. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
